Terms of Service
The agreement that governs your use of Relay. Written so a non-lawyer can read it in one sitting, but structured to the obligations a B2B procurement review expects.
By using Relay, you agree to these terms
These Terms of Service (the "Terms") form a binding agreement between you and Relay B.V. ("Relay", "we", "us"), a private company registered in Rotterdam, Netherlands. By creating an account, signing in, or otherwise using the Relay service (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy.
If you are accepting these Terms on behalf of a company or other organisation, you represent that you have authority to do so and that "you" in these Terms refers to that organisation. If you do not have that authority, or you do not agree, do not use the Service.
What Relay does
Relay is an AI communication agent called Thomas that extracts tasks from meeting transcripts and follows up with the people responsible by email until each task is resolved. Thomas sends and receives email on your behalf, surfaces blockers, and writes status summaries.
Thomas's outputs are generated by large language models and may contain errors. Treat them as a starting point your team is responsible for verifying — not as legally binding statements or as advice. You remain responsible for the consequences of any action Thomas takes on your behalf with your authorisation.
Your account and authentication
To use the Service you need an account. You can create one with an email and password, or by signing in with Google, Apple, or Microsoft. You are responsible for keeping your credentials confidential and for everything that happens under your account. Notify us at security@tryrelay.tech immediately if you suspect unauthorised access.
You must be at least 18 years old to use Relay, and you must not be located in, or use Relay from, a jurisdiction subject to EU or UN sanctions that would make our providing the Service unlawful.
What you may not do with the Service
You agree not to:
- Use the Service to send unsolicited bulk email, spam, or any communication that violates applicable anti-spam law (CAN-SPAM, CASL, ePrivacy, etc.).
- Upload meeting transcripts or contact details for people who have not given you a lawful basis to process their data.
- Use the Service to harass, defraud, impersonate, or harm any person.
- Reverse engineer, decompile, scrape, or otherwise attempt to access source code or training data we have not made public.
- Probe, scan, or stress-test the Service or attempt to bypass its rate limits, authentication, or row-level security.
- Resell, sublicense, or otherwise commercially exploit the Service without our prior written permission.
- Use the Service in a way that violates applicable law or the rights of any third party.
We may suspend or terminate access for serious or repeated violations, with notice where practical.
Your content stays yours
You own all meeting transcripts, tasks, emails, and other content you upload or generate through the Service ("Your Content"). You are responsible for it.
You grant Relay a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Your Content solely to operate the Service for you — to extract tasks, send email on your behalf, render your Command Center, and so on. The licence ends when you delete the content or close your account, except where retention is required by law.
We do not use Your Content to train AI models — ours or anyone else's.
Subscriptions, billing, and refunds
Paid plans are billed monthly or annually in advance, in EUR unless otherwise stated, exclusive of VAT. Pricing is shown on our pricing page at the time you subscribe and is incorporated into these Terms by reference. We will give at least 30 days' notice before any price increase takes effect; you may cancel before the new price applies.
Subscriptions renew automatically until you cancel from your account settings. Cancellation takes effect at the end of the current billing period; you keep access until then.
We offer a 14-day money-back guarantee on your first paid subscription. After that, fees are non-refundable except where required by law. If you cancel mid-cycle, we do not refund the unused portion.
Late payments accrue statutory interest under Dutch law. If your payment fails, we may suspend the Service after notice and a reasonable grace period.
Free trials and beta access
We may offer free trials or beta access. Trials are limited in time and scope. Beta features may be incomplete, change without notice, and are provided "as is" with no uptime or support commitment. Feedback you give us about beta features may be used to improve the Service without obligation to you.
Ending the agreement
You can close your account at any time from your account settings or by emailing hello@tryrelay.tech. Your data is handled according to the retention schedule in our Privacy Policy.
We may suspend or terminate your access if you breach these Terms, if your account is dormant for more than 24 months on a free plan, or if we are required to do so by law. We will give notice where practical.
Sections that by their nature should survive termination — fees due, your content licence for already-sent emails, disclaimers, liability limits, indemnity, governing law — do survive.
Disclaimers
Except as expressly stated and as required by law, the Service is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Thomas's outputs will be accurate or suitable for any particular purpose.
You are responsible for reviewing Thomas's outputs before they take effect in your team's workflows.
Limitation of liability
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to these Terms or the Service — even if advised of the possibility.
Each party's total aggregate liability arising out of or related to these Terms is capped at the greater of (a) the fees you paid Relay in the 12 months preceding the event giving rise to the claim, or (b) €100.
Nothing in these Terms limits liability that cannot be limited under Dutch law, including liability for fraud, wilful misconduct, or gross negligence, or for death or personal injury caused by negligence.
Indemnification
You agree to indemnify and hold Relay harmless from any third-party claim, loss, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) emails Thomas sends on your behalf that breach anti-spam or data-protection law because of how you configured the Service.
Relay will indemnify you against third-party claims that the Service, as provided by us and used by you in accordance with these Terms, infringes that party's intellectual-property rights — subject to our right to control the defence and settlement, and to modify or replace the Service to avoid continued infringement.
Governing law and jurisdiction
These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Any dispute arising out of or in connection with these Terms will be brought exclusively before the competent court in Rotterdam, the Netherlands, unless mandatory consumer-protection law gives you a right to sue elsewhere.
Changes to these Terms
We may update these Terms from time to time. When a change is material — for example a change to fees, the liability cap, or governing law — we will email account holders at least 30 days before the change takes effect. Continued use of the Service after the change takes effect constitutes acceptance. If you do not accept, you may cancel and receive a pro-rata refund of fees paid for the unused portion of your current billing period.
